Wolters Kluwer Legal & Regulatory has signed an agreement to acquire Libra Technology GmbH, a Berlin-based developer of AI software for legal professionals.

The purchase price totals up to €90 million, including an upfront payment of €30 million and an additional performance-based earn-out tied to defined operational milestones.

Libra’s AI Assistant Enhances Research, Drafting, and Document Review

Founded in 2023, Libra Technology has created the Libra AI Assistant, a fast-growing legal platform that helps law firms and in-house legal teams manage research, drafting, review, and analytical workflows with speed and precision. The system combines advanced AI with secure collaboration tools and is already used by a rapidly expanding customer base across Germany and other European markets.

By integrating Libra’s technology with Wolters Kluwer’s curated, expert-led legal content, the combined platform will offer an all-in-one solution for research, drafting, compliance checks, and document analysis. The solution introduces new standards for accuracy, regulatory alignment, and legal expertise — aiming to redefine how legal professionals work with AI.

Strong Growth Trajectory and Financial Impact

Libra Technology, staffed by a team of around 15 employees, launched its subscription-based AI assistant in late 2024 and is expected to reach ~€5 million ARR by the end of 2025.

Wolters Kluwer expects the acquisition to achieve a return on invested capital (ROIC) at or above its post-tax weighted average cost of capital (8%) within 3–5 years. The transaction is not expected to materially impact Wolters Kluwer’s adjusted earnings in the near term. Closing is anticipated in November 2025, subject to customary conditions.
